Welcome to Givium. By accessing or using the Givium platform, website, or any related applications (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms"). The Platform is owned and operated by Givium Inc. ("Givium," "we," "us," or "our"). If you do not agree to these Terms, please do not use the Platform.
These Terms apply to all visitors, Supporters, and others who access the Platform. "Supporters" means individuals who use Givium to make Monthly Contributions to Charity Partners through the Collective.

1. About the Platform

1.  Givium is a digital platform that makes it easy for residents to support local causes that matter to them. Through the Platform, Supporters can make Monthly Contributions that are distributed to vetted, registered Charity Partners in their community. Givium aggregates Community Support across causes and distributes it to local charities through the Givium Collective.
2.  Givium operates independently and is not affiliated with, endorsed by, or acting on behalf of any government body or public institution. Please direct all questions about the Platform to us directly.
3.  We reserve the right to update these Terms at any time. Changes will be posted to the Platform and take effect immediately upon posting. Your continued use of the Platform after any changes means you accept the updated Terms. We encourage you to check this page periodically.

2. Eligibility

4.  By using the Platform, you confirm that you have the legal authority to enter into these Terms and to fulfill your obligations under them.
5.  You must be at least 18 years of age, or the age of majority in your jurisdiction if higher, to make a Monthly Contribution or create an account. Supporters between the ages of 13 and 18 may access the Platform under the supervision of a parent or guardian who has agreed to these Terms on their behalf. The Platform is not intended for children under the age of 13.
6.  If you are a parent or legal guardian completing registration on behalf of a minor, you represent that you have the authority to do so and accept these Terms on their behalf.
7.  The Platform is intended for use by residents of Canada. Use outside of Canada is at the user's own risk, and users are responsible for compliance with any laws applicable to their use in their local jurisdiction. Givium reserves the right to limit access to the Platform in any geographic area without notice.

3. Monthly Contributions and the Collective

8.  Givium enables Supporters to make Monthly Contributions to a curated group of local Charity Partners known as the Collective. Supporters may choose to give to a specific Charity Bundle — a themed grouping of up to ten registered local charities — or to an individual Charity Partner. 
9.  Monthly Contributions are distributed equally among the charities within a selected Charity Bundle. Givium publishes Charity Profiles for each Charity Partner so Supporters can learn about the work their giving supports.
10.  A small portion of each Monthly Contribution goes toward Platform Support — the operating costs that allow Givium to continue connecting Supporters with local Charity Partners. This amount is disclosed clearly before you complete your giving setup.
11.  Givium makes reasonable efforts to ensure all Charity Partners are registered charities in good standing. However, Givium does not guarantee outcomes or results produced by any Charity Partner, and is not responsible for how individual charities deploy the funds they receive.

4. Recurring Giving, Cancellation, and Refunds

12.  When you set up a Monthly Contribution on Givium, you are authorizing a recurring monthly charge to your selected payment method. Your giving continues each month until you choose to stop — there are no long-term commitments and no penalties for cancelling.
13.  You may cancel your Monthly Contribution at any time by logging into your account and updating your giving preferences, or by contacting us at support@givium.com. Cancellations take effect at the end of the current billing period. You will not be charged again after your cancellation is confirmed.
14.  Because your Monthly Contribution is distributed to Charity Partners promptly upon processing, payments that have already been collected are not eligible for a refund. If you believe a charge was made in error, please reach out to us at support@givium.com and we will review your situation promptly.
15.  Givium reserves the right to modify giving tiers, Charity Bundles, or minimum contribution amounts at any time. We will provide reasonable notice of material changes that affect your giving.

5. Your Account

16.  Certain features of the Platform require you to create an account. You are responsible for keeping your login credentials secure and confidential. You agree to notify us immediately if you become aware of any unauthorized use of your account.
17.  You are responsible for all activity that takes place under your account. Givium will not be liable for any loss resulting from unauthorized use of your account where you have failed to keep your credentials secure.
18.  You may not use another person's account without their express permission.

6. Platform Content and Intellectual Property

19.  All content on the Platform — including text, graphics, logos, images, Charity Profiles, and other materials (collectively, "Content") — is owned by or licensed to Givium and is protected by applicable copyright, trademark, and intellectual property laws.
20.  You may not copy, reproduce, distribute, publish, or otherwise use any Content from the Platform for commercial purposes without our express written permission.
21.  If the Platform allows you to submit content — such as feedback, reviews, or messages — you grant Givium a non-exclusive, royalty-free, perpetual licence to use, display, and reproduce that content in connection with the operation of the Platform. You represent that you have the right to submit any content you share with us.

7. Acceptable Use

When using the Platform, you agree that you will not:
  • Use automated tools, bots, scrapers, or similar technologies to access or extract content from the Platform.
  • Attempt to gain unauthorized access to any part of the Platform or another Supporter's account.
  • Interfere with or disrupt the operation of the Platform or its infrastructure.
  • Submit false, misleading, or inaccurate information.
  • Impersonate any person, organization, or Charity Partner.
  • Use the Platform for any unlawful purpose or in a way that violates these Terms or the rights of others.

8. Privacy

22.  Your use of the Platform is also governed by our Privacy Policy, which forms part of these Terms by reference. Our Privacy Policy explains how we collect, use, and protect your personal information. The current version is always available on the Platform.

9. Third-Party Links and Integrations

23.  The Platform may contain links to third-party websites or integrate with third-party services for your convenience. Givium does not control these external sites and is not responsible for their content, privacy practices, or terms. Visiting any third-party site is at your own risk, and we encourage you to review their policies before engaging with them.

10. Platform Availability and Changes

24.  Givium reserves the right to modify, suspend, or discontinue the Platform or any feature of it at any time, with or without notice. This includes changes to Charity Bundles, Charity Partners within the Collective, or the structure of Monthly Contribution distribution.
25.  We will make reasonable efforts to keep the Platform available and functioning, but we do not guarantee uninterrupted access. Planned or unplanned maintenance may occasionally affect availability.

11. No Warranty

26.  The Platform and all Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Givium makes no warranties — express or implied — regarding the accuracy, completeness, reliability, or availability of the Platform or its Content.
27.  Givium does not guarantee that the Platform will be free of errors, interruptions, or security vulnerabilities. Your use of the Platform is at your own risk.

12. Limitation of Liability

28.  To the maximum extent permitted by applicable law, Givium, its directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform — including but not limited to loss of data, loss of goodwill, or financial loss — even if we have been advised of the possibility of such damages.
29.  Nothing in these Terms limits Givium's liability for fraud, gross negligence, or any liability that cannot be excluded by law.

13. Indemnification

30.  You agree to indemnify and hold harmless Givium and its affiliates, directors, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any third-party rights.

14. Account Suspension and Termination

31.  Givium may suspend or terminate your account at any time if we reasonably believe you have violated these Terms or are using the Platform in a way that could harm other Supporters, Charity Partners, or the integrity of the Collective.
32.  If your account is terminated due to a violation of these Terms, any outstanding Monthly Contributions that have already been processed will not be refunded.
33.  You may also choose to close your account at any time by contacting us at support@givium.com.

15. Governing Law and Dispute Resolution

34.  These Terms are governed by the laws of the Province of Ontario, Canada. Any dispute arising from these Terms or your use of the Platform will be subject to the exclusive jurisdictionof the courts located in the Province of Ontario.

16. General

35.  If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
36.  These Terms represent the entire agreement between you and Givium regarding your use of the Platform and supersede any prior agreements or understandings.
37.  Our failure to enforce any right or provision in these Terms does not constitute a waiver of that right or provision.
38.  These Terms are not intended to confer any rights or remedies on any third parties.
